GENERAL TERMS AND CONDITIONS OF SALE

These General Terms and Conditions of Sale govern the purchase of products through www.santamadreco.com (hereinafter, the "Website").

Before placing an order, we recommend reading these terms carefully. By completing a purchase, the customer declares that they know and accept the terms applicable to the order, without prejudice to the rights granted to consumers and users by law.

2. Scope of application

These terms apply to purchases made through the Website.

Both consumers and professionals or companies may purchase, except where certain products, offers or channels are expressly indicated as exclusive to a particular category of customer.

Where the buyer has the legal status of consumer or user, all rights granted by consumer protection legislation shall apply and shall prevail over any provision of these terms that may be incompatible with them.

The particular conditions of certain promotions, products or services may supplement these General Terms.

3. Requirements to purchase

To make a purchase, the customer must have sufficient legal capacity to enter into a contract.

Where a minor lacks sufficient capacity to carry out the transaction, the purchase must be made with the involvement of their parents, guardians or legal representatives where the applicable legislation so requires.

The customer undertakes to:

• Provide true, accurate and up-to-date information.

• Use means of payment that they are authorised to use.

• Not place false or fraudulent orders or orders intended for unlawful activities.

• Provide a valid delivery address within the territories to which SANTAMADRE ships.

4. Products

SANTAMADRE markets sports nutrition and food products, whose composition, characteristics, formats, instructions for use and other relevant information are shown on their corresponding product pages.

Images and graphic representations are for illustrative purposes. There may be small differences in presentation, packaging or design that do not affect the essential characteristics of the product.

Before consumption, the customer must check the information, composition, ingredients, allergens, instructions and warnings shown on the product and its labelling.

The information available on the Website about nutrition, training, performance or well-being is informative in nature and does not replace individual medical or nutritional advice where such advice is needed.

5. Availability

All orders are subject to availability.

If, after an order has been placed, it emerges that a product is not available, SANTAMADRE will inform the customer as soon as possible and will, as appropriate:

• Refund the amount corresponding to the unavailable product.

• Offer the customer an alternative, which will only be supplied if they accept it.

• Agree, where possible, on a new delivery date.

SANTAMADRE will not unilaterally replace a purchased product with a different one without the customer's consent.

6. Purchase process

To make a purchase, the customer must select the desired products, add them to the cart and complete the payment process available on the Website.

Before confirming the order, they may review and change the selected products, quantities, delivery address and other information available during the purchase process.

Before completing the transaction, the total amount payable will be shown, including applicable taxes and any additional charges.

By clicking the final purchase button, the customer expressly acknowledges that the order implies an obligation to pay.

Once the order has been placed, an electronic confirmation will be sent to the email address provided.

The electronic documentation relating to the transaction may be stored in our systems or in those of our technology providers for the legally applicable periods.

The contract will be concluded at least in Spanish, without prejudice to the Website offering other languages.

7. Confirmation and acceptance of the order

The automatic receipt of an order confirms that it has been received by our systems.

SANTAMADRE may carry out reasonable checks on security, availability, payment and fraud prevention before proceeding with dispatch.

In exceptional circumstances, an order may be cancelled where it is impossible to fulfil, where there is a lack of availability, where fraud or unlawful use is detected, where there is a manifest error in the essential terms of the offer, or where another legally justified cause applies.

Where an order that has already been paid for is cancelled by SANTAMADRE, the corresponding amounts charged will be refunded.

8. Prices and taxes

The applicable prices are those published on the Website at the time the order is placed.

Prices will include the applicable taxes where legally required, without prejudice to possible shipping costs, customs charges or other items, which will be shown or notified before completing the purchase where possible.

SANTAMADRE may change its prices at any time. Changes will not affect orders already confirmed, except in the case of manifest errors that are reasonably recognisable as such.

Promotions and discounts are subject to the conditions and periods indicated in each case and cannot be combined unless expressly stated otherwise.

9. Payment methods

The available payment methods are those shown during the payment process.

Certain payments may be processed directly by external providers. In such cases, the use of the corresponding means of payment may also be subject to the provider's terms.

SANTAMADRE does not necessarily have access to the full details of cards or other payment instruments managed directly by those providers.

If payment is declined, cancelled or not authorised by the relevant institution, the order may not be processed.

10. Shipping

Delivery territories, transport options, costs and estimated times are available on the Website or during the purchase process.

Unless expressly stated otherwise, the times communicated are delivery estimates.

For purchases made by consumers, and unless another period is agreed, delivery will take place within the maximum period established by law.

Where it is not possible to meet the agreed period, we will inform the customer and proceed in accordance with the rights granted by the applicable legislation.

11. Delivery and transfer of risk

The order will be deemed delivered when the customer, or a third party indicated by them other than the carrier, takes physical possession of the products.

For purchases made by consumers, the risk of loss or damage to the order remains with SANTAMADRE until that moment, except in the cases provided for by law in which the consumer has engaged, on their own initiative, a carrier not proposed by SANTAMADRE.

The customer must provide a correct address and take the reasonable measures necessary to receive the order.

Where a delivery cannot be made for reasons attributable to the customer and the order is returned to SANTAMADRE, we may contact them to arrange a new delivery. Additional costs directly arising from a second shipment may be passed on where legally appropriate and where they have been notified in advance.

12. Right of withdrawal

Where the buyer has the status of consumer, they generally have 14 calendar days from receipt of the product to withdraw from the purchase without having to justify their decision, except in those cases where a legal exception applies.

To exercise the right of withdrawal, they must communicate their decision unequivocally to:

They may use the model form included at the end of these terms, although its use is not mandatory.

Exceptions

In accordance with the applicable legislation, the right of withdrawal may not apply, among other cases, to:

• Products liable to deteriorate or expire rapidly.

• Sealed products which are not suitable for return for health protection or hygiene reasons, where they have been unsealed after delivery.

• Personalised products.

• Other products or situations expressly excluded by the applicable regulations.

The fact that a product is a food or nutritional product does not in itself imply the automatic exclusion of the right of withdrawal. The exception applies where the legally established requirements are met.

13. Consequences of withdrawal

Where withdrawal is legally applicable, we will refund the payments received, including the delivery costs corresponding to the least expensive standard option offered by us.

The refund will be made without undue delay and, at the latest, within 14 calendar days from the date we were informed of the decision to withdraw.

We may withhold the refund until we receive the products or until the consumer provides proof of their return, whichever occurs first, unless we have offered to collect them.

The refund will be made using the same payment method used for the purchase, unless another method is expressly agreed and it entails no cost for the consumer.

Unless SANTAMADRE states otherwise, the direct cost of return arising from the ordinary exercise of withdrawal is borne by the consumer.

The consumer is only liable for any diminished value of the goods resulting from handling other than what is necessary to establish their nature, characteristics and functioning.

14. Defective or damaged products and incorrect orders

If the customer receives a product that is defective, damaged in transit, incorrect or not as contracted, they must contact our customer service as soon as reasonably possible.

Where there is a lack of conformity attributable to SANTAMADRE, the corresponding remedies will be provided at no cost to the consumer in accordance with the applicable legislation.

We recommend keeping the product, packaging and corresponding documentation and, where helpful in resolving the issue, providing photographs of the condition in which it was received.

This recommendation does not limit the consumer's legal rights.

15. Legal guarantee and conformity

Consumers have the right to receive products that conform to the contract.

SANTAMADRE is liable for any lack of conformity under the terms and within the periods laid down by the legislation in force.

In general, for new goods sold to consumers in Spain, legal liability for any lack of conformity becoming apparent within the period established by law from delivery will be as set out in consumer protection regulations.

The consumable nature of certain products, their best-before date, expiry date, storage conditions, incorrect handling or use contrary to their instructions may be relevant in determining whether or not a lack of conformity exists.

Legal guarantee rights are independent of the right of withdrawal.

16. Promotions and discount codes

Promotional codes, discounts and special campaigns may be subject to particular conditions, including periods of validity, participating products, minimum amounts, maximum number of uses or limits per customer.

Unless expressly stated otherwise:

• They cannot be exchanged for money.

• They cannot be combined with one another.

• They cannot be applied retroactively to orders already placed.

SANTAMADRE may cancel promotions or uses that are fraudulent, abusive or contrary to their conditions, always respecting the rights legitimately acquired by customers.

17. Customs and international orders

Where SANTAMADRE ships outside the applicable customs territory, the order may be subject to import taxes, customs duties, fees or other charges required by the authorities of the country of destination.

Where these amounts have not been expressly included in the price paid at checkout, they may be payable by the recipient in accordance with the legislation of the country of destination.

The customer is responsible for checking, where applicable, any restrictions on importing the products into the country of delivery.

18. Liability

SANTAMADRE is liable for its obligations in accordance with the applicable legislation.

It will not be liable for breaches or delays due to circumstances beyond its reasonable control where this is legally permitted, without prejudice to the rights of consumers and users.

Nothing in these terms is intended to exclude or limit liabilities or rights that cannot validly be excluded or limited by contract.

19. Proper use of the products

Products must be used in accordance with the indications on their labelling, instructions for use and corresponding warnings.

The customer is responsible for checking ingredients, allergens and any other information relevant to their personal circumstances before consumption.

The general information about nutrition or performance available on the Website does not constitute a medical diagnosis or treatment.

In the case of illness, medical conditions, pregnancy, breastfeeding, use of medication or any circumstance that may affect the suitability of a product, we recommend seeking professional advice where appropriate.

22. Amendment of these terms

SANTAMADRE may update these General Terms to adapt them to legal, technological, commercial or operational changes.

Each order is governed by the version of the terms in force at the time the purchase was made.

Subsequent changes do not apply retroactively to orders already concluded.

23. Applicable law and jurisdiction

These General Terms are governed by Spanish law, without prejudice to the mandatory rules applicable to the consumer by reason of their place of residence.

Where the customer is a consumer, any dispute will be submitted to the courts and tribunals having jurisdiction under consumer protection regulations, and these terms do not imply any waiver of the venues to which they are legally entitled.

Where the customer acts as a business or professional and the legislation allows jurisdiction to be agreed, the parties may submit to the courts and tribunals of the registered office of WE ARE UNUSUAL S.L., unless expressly agreed otherwise.

24. Model withdrawal form

You should only complete and send this form if you wish to withdraw from the contract and your purchase is legally subject to the right of withdrawal.
